The new Berner Kommentar volume «The Corporation – General Provisions (Arts. 620–647 CO) and Register-Based Securities (Arts. 973d–973i CO),» has just been published by Stämpfli Publishers.

Prof. Dr. Nina Reiser and Michael Kallenberg from the ILE-HSG Institute for Law and Economics provide commentary on key provisions governing the incorporation of corporations, including Art. 629 (Deed of Incorporation), Art. 630 (Subscription of Shares), Art. 631 (Supporting Documents), Art. 634 (Contributions in Kind), Art. 635 (Incorporation Report), and Art. 635a CO (Audit Confirmation).

The revision of Swiss corporate law, which entered into force in 2023, fundamentally revised and supplemented numerous provisions of corporate law.
